Florida Sales Tax

Bottom line: in the vast majority of circumstances, the principal value of incorporating in Delaware is to the incorporation service, in that they collect fees from the transaction.

The real Bottom line: When someone incorporates in Delaware for a reasonable fee it cuts out attorneys who charge exorbitant fees for doing essentially the same service, hence why attorneys don't like Delaware corporations. :rolleyes:

:yes::yes::yes::lol:

Are attorneys actually required for incorporation or any other entity formation in any states now? They aren't necessary in TX but I don't mind paying for the service if they do it.

Attorneys aren't required for lots of transactions, but they try to keep the myth alive that you need them, hence why they can charge multiple times what the transaction should really cost.

Every street corner has a bunch of offices with "Attorney" on the sign. 90% are bottom feeders doling out bad legal advise for fees. If you have a good attorney (rare) then use him. But there are other options.

What a crock. Speak not of that about which you know not.

Incorporation in most any state costs nearly the same amount. Texas has forms online, published by the state, for those who know enough to understand what they are doing. Cost of initial filing is trivial in the overall scheme. Most lawyers charge very little for the service, with the value-add coming in actually advising on structural details to accomplish the desired result.

Cost of doing something stupid (like, say, holding an aircraft in a Delaware corporation when it's based in another state), that's rarely trivial. Then you get to pay the lawyer.
